Terms of Service
Last updated 5 September 2026. These terms are a draft pending legal review — every bracketed item below must be completed before they are published.
1. These terms
They are between [LEGAL ENTITY NAME] ("we") and the organisation subscribing to the Targets Live platform ("you"). By subscribing, or by using the platform, you accept them. If you are accepting on behalf of an organisation, you confirm you are authorised to do so.
2. The platform
Targets Live is an integrated business platform covering supply chain, sales and distribution, customer relationships, human resources, brand management, surveys, field force automation, point of sale, and accounts and finance. Which modules you can use depends on your plan.
We may change or improve the platform. Where a change materially reduces functionality you rely on, we will give you [NOTICE PERIOD] notice.
3. Free trial
The free trial runs for 14 days and includes the features of the Professional plan. No payment details are required to start it. At the end of the trial your access stops unless you subscribe. We may withdraw or change trial terms for future users at any time.
4. Plans, fees and billing
- Current prices are published on our pricing page. Fees are stated in [CURRENCY] and are [EXCLUSIVE / INCLUSIVE] of tax.
- Additional team members beyond those included in a plan are charged per member per month at the rate shown on the pricing page.
- There are no setup fees on the Starter and Professional plans. Enterprise deployments may carry an implementation fee, quoted before work begins.
- Invoices are payable within [PAYMENT TERMS]. We may suspend access to accounts that remain unpaid after [GRACE PERIOD].
- We may change prices on [PRICE CHANGE NOTICE] notice, effective at your next renewal.
5. Changing or cancelling your plan
You may upgrade, downgrade or cancel at any time, and the change takes effect immediately. On an upgrade you are charged pro rata for the remainder of the billing cycle. What happens to fees already paid is set out in our refund policy.
6. AI Helper credits
Advanced AI-powered automations consume AI Helper credits. Each plan includes a monthly allocation which renews; unused credits roll over for one month and then expire. Additional credits may be purchased. Credits have no cash value and are not exchangeable.
7. Your data
You own the data you and your users put into the platform. You grant us the licence needed to host, process and back it up so that we can provide the service. We process personal data in accordance with our privacy policy and, where applicable, the data processing terms at [DPA LOCATION].
You are responsible for the lawfulness of what you record — in particular for informing employees about location tracking and attendance monitoring, and for establishing a lawful basis for it.
On termination you may export your data for [EXPORT WINDOW], after which it is deleted in line with our retention schedule.
8. Acceptable use
You must not use the platform to break the law, to store or transmit malicious code, to attempt to gain unauthorised access to it or to anyone else's data, to reverse engineer it, or to resell access without our written agreement. You are responsible for what the people you give access to do with it, and for keeping credentials secure.
9. Availability and support
We aim to keep the platform available at all times but do not guarantee uninterrupted service except where an Enterprise service level agreement says otherwise. Planned maintenance is notified in advance where practical. Support is provided at the level your plan includes.
10. Intellectual property
The platform, its software, design and documentation remain ours. Nothing here transfers ownership of them to you. Feedback you give us may be used to improve the platform without obligation.
11. Warranties and liability
We provide the platform with reasonable skill and care. Beyond that, and to the extent the law allows, it is provided as-is. We are not liable for indirect or consequential loss, or for loss of profit, revenue or anticipated savings. Our total liability in any twelve-month period is limited to [LIABILITY CAP — e.g. the fees paid in the preceding twelve months].
Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.
12. Term and termination
These terms run for as long as you hold a subscription. Either of us may terminate for material breach that is not put right within [CURE PERIOD] of written notice. We may suspend access immediately where use threatens the security or integrity of the platform.
13. Governing law
These terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction over any dispute.
14. Changes
We may update these terms. Material changes will be notified to account holders by email at least [NOTICE PERIOD] before they take effect.
